These Terms of Service (the "Terms") govern the services provided by Volrep LLC, trading as Volrep Premium ("Volrep Premium", "we", "us" or "our"), and the use of our website volrep-premium.com. By placing an order or using our services, you ("you" or the "Client") agree to these Terms.

1. Our services

We provide social media marketing services: social media account management (Instagram, TikTok and, on the Pro plan, Facebook), paid social advertising management on Meta and TikTok, and content creation (post design and short-form video editing), as described on our Services and Pricing pages.

The exact services, quantities, term and price for your engagement are confirmed in writing by email or WhatsApp before payment (the "Order"). If there is a conflict between the Order and these Terms, the Order prevails for that point. Work outside the Order is only carried out if we both agree to it in writing, and may be quoted separately.

We also sell Premium packs: personal access to the Volrep Premium platform, which lets you schedule and publish posts on Instagram, TikTok and Facebook and view your account statistics, for a set number of users (1 to 4, or more under a custom offer) and a set period, as shown on our Pricing page. Premium packs are sold separately from our management plans.

2. Orders and term

An Order is formed when we confirm the scope in writing and you pay the corresponding Stripe payment link. You choose a term of 1, 3, 6 or 12 months. The term starts on the date onboarding begins.

Orders do not renew automatically. At the end of the term, services stop unless you agree in writing to renew. Payments are governed by our Payment Policy, and cancellations and refunds by our Refund & Cancellation Policy, both of which form part of these Terms.

For Premium packs, the period starts on the date access is activated and ends automatically at the end of the period. It is only renewed if you agree in writing.

3. Client responsibilities

To allow us to deliver the services, you agree to:

  • provide accurate business information, brand guidelines, logos, product information and any footage or images needed for content creation;
  • give us the account access described in section 4 in a timely manner;
  • review and approve content calendars and ad materials, or request changes, within five (5) business days of receiving them;
  • make sure that you hold all rights and permissions for the materials you provide to us, including images, music, trademarks and the likeness of any person appearing in them;
  • make sure that your products, services and claims (including health, financial or environmental claims) are lawful and comply with the policies of Meta, TikTok and any other platform used;
  • pay ad spend directly to the advertising platforms and keep a valid payment method on your ad accounts.

If materials, access or approvals are not provided on time, we will make reasonable efforts to reschedule the affected deliverables within your term. Delays caused by missing materials, access or approvals do not extend the term or entitle you to a refund for the affected period.

4. Account access

You remain the owner of all your social media accounts, pages, ad accounts, pixels and related assets at all times. Wherever possible, you grant us access through partner or role-based tools, such as Meta Business Manager and TikTok Business Center, rather than by sharing passwords. If credentials must be shared, we keep them confidential, store them securely and use them only to perform the services.

You may revoke our access at any time. At the end of the engagement, we remove our access or ask you to remove it. You are responsible for the security settings of your accounts, including two-factor authentication. We are not responsible for actions taken by platforms (such as account restrictions, suspensions, ad rejections or algorithm changes) that are not caused by our breach of these Terms.

Premium access: each user receives personal login details. You are responsible for the users you add, for keeping their login details confidential, for not sharing an access with more people than the number of users in your pack, and for the content you schedule and publish yourself through the platform. Publishing and statistics depend on the services provided by Instagram, TikTok and Facebook, which may change or limit them. We may suspend an access that is shared, misused or used in breach of these Terms.

5. Content approvals

Each month, we send you a content calendar for approval before publication. Each deliverable includes up to two rounds of revisions. Additional revisions or changes to approved content may count against the following month's quantities or be quoted separately.

We only publish content that you have approved, either individually or by approving the calendar. Replies to comments and direct messages follow the tone and guidelines you approve during onboarding; we escalate complaints, sensitive matters and requests for refunds or personal data to you. Once you approve content, you are responsible for the accuracy of the information and claims it contains.

6. Advertising

Ad campaigns run in your own ad accounts. Ad spend is paid by you directly to Meta or TikTok and is never included in our fees. The approval, delivery and pricing of ads are controlled by the platforms. We do not guarantee that ads will be approved or achieve any particular result.

7. Ownership of delivered content

Once you have paid for the relevant period in full, you own the final deliverables created specifically for you under the Order, including designs, edited videos, captions and ad copy, and may use, modify and publish them without restriction.

We keep ownership of our pre-existing materials, templates, methods and know-how. Third-party assets used in deliverables, such as fonts, stock media or music from a platform's library, remain subject to their own licences; for example, platform library music may only be used on that platform. You keep ownership of all materials you provide to us and grant us a limited licence to use them solely to perform the services.

We will not use your name, logo or content in our own marketing or portfolio without your prior written permission.

8. Confidentiality

Each party will keep confidential any non-public information received from the other in connection with the services, including account data, performance data, strategy and pricing, and will use it only for the purpose of the engagement. This obligation continues for two years after the engagement ends.

9. No guarantee of results

Social media performance depends on factors outside our control, including platform algorithms, competition, market conditions and your products. We commit to delivering the services in the Order with reasonable skill and care, but we do not guarantee any specific number of followers, views, engagement, leads, sales or return on ad spend.

10. Termination

You may cancel at any time as described in our Refund & Cancellation Policy. We may suspend or terminate the services by written notice if you fail to pay, if you materially breach these Terms and do not remedy the breach within seven (7) days of notice, if you ask us to publish unlawful or misleading content, or if continuing would breach a platform's policies. If we terminate for reasons other than your breach, we refund any prepaid months that have not started.

11. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or in connection with the services is limited to the fees you paid to us in the three (3) months before the event giving rise to the claim. We are not liable for any indirect or consequential loss, loss of profits, revenue, data or goodwill, or for losses resulting from platform actions, outages or policy changes.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for fraud, gross negligence or wilful misconduct, or the statutory rights of consumers.

12. Indemnity

You agree to indemnify us against third-party claims arising from materials you provide, content you approve, or your products and services, except to the extent the claim results from our own breach of these Terms.

13. Force majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, such as platform outages, internet failures, natural disasters or government action. Deliverables affected by such events will be rescheduled where possible.

14. Governing law and disputes

These Terms and any dispute arising from them are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules. The state and federal courts located in Wyoming have exclusive jurisdiction, except where mandatory law provides otherwise.

Before starting any proceedings, please contact us so that we can try to resolve the issue informally within thirty (30) days. If you are a consumer residing in the European Union, you also keep the protection of the mandatory provisions of the law of your country of residence.

15. Changes to these Terms

We may update these Terms from time to time. The version in force when you place an Order applies to that Order. The "Last updated" date at the top of this page shows when the Terms were last changed.
